Terms & Conditions

1. Acceptance

By creating an account on joinfsc1.com, you ("Participant", "you") agree to be bound by these Terms & Conditions, the Privacy Policy, and the Challenge Rules. If you do not agree, do not create an account or participate.

2. Eligibility

Open to founders, entrepreneurs, and builders 18 years or older. No purchase necessary to enter. Void where prohibited by law. Employees and contractors of Founder Social LLC and Descript, Inc. are not eligible to win the grand prize.

3. The Challenge

FSC1 is a 30-day content challenge. Participants submit public content, earn points through the scoring system, and compete for a $5,000 grand prize. The scoring system, rules, and prize structure are described on the Rules page and may be adjusted by the Organizer at any time at its sole discretion.

4. Prize

• One (1) grand prize of $5,000 USD awarded to the Participant with the highest total score at the end of the 30-day challenge period.
• Prize will be awarded via digital payment (Venmo, PayPal, wire transfer, or similar) within 30 days of challenge completion.
• Winner is solely responsible for all applicable federal, state, and local taxes on the prize.
• Organizer reserves the right to verify the winner's identity and eligibility before awarding the prize.
• If the winner cannot be contacted within 14 days, or is found to be ineligible, the prize may be awarded to the next highest scorer.
• Prize is non-transferable and no substitutions will be made except at Organizer's sole discretion.

5. Content

• All content you submit must be your original work or content you have the legal right to share.
• You retain full ownership of your content. By submitting a URL, you grant Founder Social LLC and Descript, Inc. a non-exclusive, worldwide, royalty-free, perpetual license to share, repost, feature, and use your submitted content for promotional purposes related to the challenge and future marketing of FSC and Descript.
• Content that is hateful, harassing, defamatory, illegal, infringing on intellectual property, or violates another person's rights will be removed and may result in immediate disqualification.
• You represent and warrant that your content does not violate any law or infringe any third party's rights.

6. Disqualification

Organizer reserves the right to disqualify any Participant at any time, for any reason, including but not limited to: fake accounts, bot activity, vote manipulation, spam referrals, plagiarized content, abusive behavior, or violation of these terms. Disqualification decisions are final and not subject to appeal.

7. Scoring & Judging

The scoring system is described on the Rules page. Organizer reserves the right to apply admin bonuses or penalties at its sole discretion. The Organizer's determination of the winner is final and binding and not subject to challenge or appeal.

8. Descript

Participants are required to create a free Descript account during onboarding. This is facilitated through an affiliate link. Founder Social LLC may receive compensation from Descript, Inc. for signups and paid conversions. Your use of Descript is governed entirely by Descript's own terms of service and privacy policy. Founder Social LLC makes no representations or warranties about Descript's products or services.

9. Assumption of Risk

You voluntarily participate in this challenge and assume all risks associated with participation, including but not limited to: public exposure of your content, interactions with other participants, time invested, and any consequences of your public posts.

10. Limitation of Liability

• THE CHALLENGE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE." FOUNDER SOCIAL LLC AND DESCRIPT, INC. MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• IN NO EVENT SHALL FOUNDER SOCIAL LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR DESCRIPT, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR PARTICIPATION IN THE CHALLENGE, USE OF THE PLATFORM, OR THESE TERMS.
• THE TOTAL AGGREGATE LIABILITY OF FOUNDER SOCIAL LLC AND DESCRIPT, INC. SHALL NOT EXCEED THE AMOUNT OF THE PRIZE ($5,000 USD).
• YOU PARTICIPATE ENTIRELY AT YOUR OWN RISK. FOUNDER SOCIAL LLC AND DESCRIPT, INC. ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA, TECHNICAL FAILURES, INTERRUPTIONS, UNAUTHORIZED ACCESS, OR ANY OTHER ISSUES ARISING FROM YOUR USE OF THE PLATFORM.
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Founder Social LLC, its members, officers, employees, agents, and Descript, Inc. and its officers, directors, employees, and agents (collectively, "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your participation in the challenge, (b) your content, (c) your violation of these terms, (d) your violation of any law or third party's rights, or (e) any dispute between you and another participant.

12. Release

By participating, you release and discharge the Indemnified Parties from any and all liability, claims, demands, and causes of action arising from or related to the challenge, including but not limited to personal injury, property damage, or violations of privacy, publicity, or intellectual property rights.

13. Modifications

Organizer may modify these terms, the rules, the scoring system, the prize structure, or the challenge structure at any time at its sole discretion. Changes take effect immediately upon posting. Continued participation after changes constitutes acceptance.

14. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes arising from these terms or the challenge shall be resolved exclusively in the state or federal courts located in Santa Clara County, California. You consent to personal jurisdiction in these courts.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These terms, together with the Privacy Policy and Challenge Rules, constitute the entire agreement between you and Founder Social LLC regarding the challenge.

17. Termination

Organizer may terminate the challenge at any time for any reason. In the event of early termination, the prize will be awarded to the current leader or prorated at the Organizer's sole discretion.

18. No Employment or Agency

Participation does not create an employment, agency, partnership, or joint venture relationship between you and Founder Social LLC or Descript, Inc.
